Terms of Service

1. Parties & Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between RexRuby, Inc. ("RexRuby", "we", "us") and the business entity or individual ("Customer", "you") activating a RexRuby account. By completing the onboarding flow and checking the acceptance box, Customer agrees to be bound by these Terms in their entirety. If you are accepting on behalf of a business, you represent and warrant that you have authority to bind that business to these Terms.

2. Service Description

RexRuby provides AI-powered business communication services, including: • Rex — an inbound AI receptionist that handles SMS conversations, qualifies leads, and books appointments on behalf of Customer's business. • Ruby — a proactive client retention engine that monitors behavioral events and sends personalized re-engagement messages. • Gemma — a deposit and payment collection layer integrated with Stripe. These services are provided via API connections to Twilio (messaging infrastructure), Anthropic Claude (AI language model), and Stripe (payment processing). RexRuby is not a telecommunications carrier. Carrier-level terms apply to all SMS communications.

3. Data Collection & Behavioral Intelligence

By activating RexRuby, Customer authorizes RexRuby to collect, store, and process: (a) Conversation Data — all inbound and outbound messages between Rex/Ruby and Customer's clients, stored for AI context and audit purposes. (b) Behavioral Event Data — structured records of client actions including bookings, cancellations, no-shows, reschedules, purchases, and NPS responses. Stored in the client_events table. (c) Derived Behavioral Profiles — computed attributes including churn risk scores, visit frequency patterns, lifetime value estimates, and re-engagement propensity scores derived from (a) and (b). (d) Voice & Conversational Memory — the RexRuby Voice Memory system builds a per-client memory profile from conversation patterns, including inferred preferences, tone, and relationship context. This data powers Ruby's personalization layer. (e) TCPA Consent Records — opt-in and opt-out records required for compliance with federal messaging regulations. Data Ownership: Customer retains ownership of their raw client data (names, phone numbers, appointment history). RexRuby retains ownership of derived behavioral models, AI-generated insights, and platform intelligence built from aggregated, de-identified data across the platform. Data Portability: Customer may request a full data export at any time via Settings → Data & Privacy. Upon subscription cancellation, raw client data is retained for 90 days and then deleted unless export is requested. Model Training: Aggregated, de-identified conversation signals may be used to improve the quality of AI responses across the platform. Individual client data is never shared with third parties or used to train models for competing products.

4. Intellectual Property

The following are the exclusive intellectual property of RexRuby, Inc., protected by copyright, trade secret, and applicable law: • The Rex and Ruby AI agent architectures and interaction models. • The sales conversation methodology encoded in the AI prompt system, including but not limited to: assumptive close language, one-question-per-message discipline, urgency-through-truth framing, mirror-and-pace techniques, and vertical-native conversation flows for medical, dental, salon, legal, lending, and service business verticals. • The behavioral event system, including the client_events schema, ruby_triggers orchestration logic, and event-driven retention methodology. • All vertical-specific clinical, dental, legal, and retail communication frameworks embedded in the platform. • The dual-agent Rex/Ruby interaction model and the Gemma deposit layer architecture. License Grant: RexRuby grants Customer a limited, non-exclusive, non-transferable, revocable license to use the platform outputs (AI-generated messages, reports, insights) for Customer's own business operations during an active paid subscription. Restrictions: Customer may not: (i) reverse-engineer, decompile, or attempt to extract the prompt architecture or AI methodology from platform outputs; (ii) reproduce, resell, or sublicense the platform or its outputs; (iii) use the platform to build a competing product; (iv) train a competing AI model on outputs from the platform. Violation of this section is grounds for immediate account termination and may result in injunctive relief and monetary damages.

5. TCPA & Messaging Compliance

Customer is the "sender" for all purposes under the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and applicable state messaging laws. Customer represents and warrants that: (a) All phone numbers submitted for Ruby outreach campaigns have provided prior express written consent to receive automated messages from Customer's business. (b) Customer will honor all STOP/UNSUBSCRIBE requests within the timeframe required by law. RexRuby's opt-out infrastructure processes STOP keywords automatically, but Customer is responsible for ensuring no messages are sent to opted-out numbers via any channel. (c) Customer's use of RexRuby does not violate any do-not-call list requirements or state-specific restrictions. Customer agrees to indemnify, defend, and hold harmless RexRuby, Inc. and its officers, directors, employees, and agents from any claims, damages, fines, penalties, or legal fees arising from Customer's messaging activity, including TCPA violations.

6. HIPAA (Medical & Dental Verticals)

Customers operating in medical, dental, behavioral health, or any other vertical that involves Protected Health Information (PHI) must execute a HIPAA Business Associate Agreement (BAA) with RexRuby before processing any PHI through the platform. The onboarding flow includes a BAA execution step for these verticals. Activating a medical or dental account without completing the BAA step constitutes a material breach of these Terms. RexRuby maintains a HIPAA-compliant audit log for all PHI access events. Customer is responsible for ensuring their staff access to the RexRuby dashboard complies with the minimum-necessary standard under HIPAA.

7. Billing & Cancellation

Subscriptions are billed monthly in advance. By completing checkout, Customer authorizes RexRuby to charge the payment method on file on a recurring monthly basis until the subscription is cancelled. Cancellation: Subscriptions may be cancelled at any time from Settings → Billing. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused days. Failed Payments: RexRuby will make three (3) retry attempts over seven (7) days before suspending the account. Suspended accounts retain data for 30 days. After 30 days of non-payment, the account may be permanently deleted. Price Changes: RexRuby will provide 30 days' notice of any price changes via email to the account's registered email address.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (a) REXRUBY'S TOTAL AGGREGATE LIABILITY TO CUSTOMER FOR ALL CLAIMS ARISING UNDER OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY CUSTOMER IN THE THREE (3) CALENDAR MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. (b) IN NO EVENT SHALL REXRUBY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOSS OF GOODWILL, LOSS OF DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. (c) AI-generated responses are probabilistic outputs, not guarantees. RexRuby does not warrant that Rex or Ruby responses will be accurate, complete, timely, or appropriate for every situation. Customer is responsible for reviewing AI behavior in context and not relying solely on AI outputs for medical, legal, financial, or safety-critical decisions.

9. Warranties & Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. RexRuby does not warrant uninterrupted or error-free service. Planned maintenance windows will be communicated in advance where practicable. RexRuby's target uptime SLA is 99.5% monthly, measured at the API layer excluding third-party infrastructure (Twilio, Anthropic, Stripe, Supabase) downtime.

10. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms shall be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in English. Judgment on the award may be entered in any court of competent jurisdiction. Class Action Waiver: Customer waives any right to participate as a plaintiff or class member in any class action, collective action, or representative proceeding against RexRuby. Exceptions: Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights or prevent unauthorized use of the platform.

11. Changes to Terms

RexRuby reserves the right to modify these Terms at any time. Material changes will be communicated via email to the account's registered address with at least 30 days' notice. Continued use of the platform after the effective date of changes constitutes acceptance of the updated Terms. The current version of these Terms is always available at rexruby.ai/legal/terms. The version number and effective date at the top of this page represent the binding version for all accounts that accepted during that period.
